Terms of Service

Fatstack is a directory and a payment-verification service. It is not a payment processor, a custodian, or a party to the transactions it helps arrange. These terms explain what that means for what you can expect from us, and what you cannot.
1. What Fatstack does, and does not do
Fatstack lists tools that accept per-call payment, and verifies that a payment presented to a tool is valid. Providers list their own tools. Consumers call them with their own wallets.
We never hold your money. Payment is a direct transfer of USDC on the Base network from the consumer’s wallet to the provider’s wallet. Fatstack is not a payee, holds no balances, operates no withdrawal mechanism, and does not custody private keys belonging to users. We could not take, freeze, or return your funds even if asked to.
We operate a facilitator that broadcasts the transfer you authorised and pays the network gas for it. That service submits a transaction you have already signed. It does not receive your funds at any point.
2. Payments are final
Payments are final. No refunds. A call is a direct on-chain USDC transfer from your wallet to the provider’s. Once settled, nobody — including Fatstack — can reverse it.
This is a property of the network, not a policy we chose and could waive. Once a transfer settles on Base it cannot be reversed by the provider, by Fatstack, or by anyone else. There is no chargeback mechanism, no dispute process that can move funds, and no refund.
Consequences you accept by using the service: a payment sent to the wrong tool is not recoverable; a call that returns an error or an unusable result is still paid for; and a payout wallet address entered incorrectly by a provider will receive real money that Fatstack cannot retrieve.
Set spending limits before you let software spend. Our client library supports per-call, hourly and daily ceilings and host allowlists, evaluated before anything is signed. Using them is your responsibility, not ours.
3. Eligibility
You must be legally capable of entering this agreement, and you must not be subject to sanctions or located in a sanctioned jurisdiction. We screen provider payout wallets against a public on-chain sanctions oracle and reject listings that match. That screen is a control on our side, not a guarantee to you, and it does not replace your own compliance obligations.
4. If you list a tool
You are responsible for what your tool does, for the accuracy of its description and schema, for holding the rights to whatever it returns, and for the correctness of the payout wallet you provide.
Every listing is reviewed by a person before it can accept payment. There is no automatic approval. Review is a moderation step for our users’ benefit, not an endorsement, certification, or audit of your tool.
We may reject, pause, delist or remove any listing at our discretion — particularly where it appears to mislead, to attempt prompt injection against the agents reading it, to infringe rights, or to break the law. Listings that go live are served publicly, and their measured call volume and error rates are published.
If you choose proxy mode, your traffic passes through our infrastructure and we can see the plaintext of requests and responses. If that is unacceptable for your data, use SDK mode and run the payment middleware yourself.
5. If you call a tool
Tools are operated by third parties. Fatstack does not warrant that a tool works, that it is available, that its description is accurate, or that its output is correct, lawful or fit for any purpose. The measured figures we publish — volume, call counts, error rates, uptime — are observations, not promises.
You are responsible for every payment made by software acting on your behalf, including payments made in error, in a loop, or by a compromised key.
6. Fees
Every provider receives a 0% platform fee for their first 30 days, counted from the date their account is registered. After that period, a fee of flat 2% per transaction applies to all of their listings. There is no minimum fee: the platform’s share is always two percent of the amount paid, rounded down, and any remainder goes to the provider.
The promotional period belongs to the provider, not to any individual listing. Delisting a tool and listing it again, or adding further tools later, does not restart it.
Payments settle directly between wallets. Where a fee applies, it is divided on-chain at the moment of payment rather than collected from the provider afterwards — Fatstack never holds the provider’s revenue.
7. Availability
The service is provided as-is, without any uptime commitment. We may suspend all or part of it at any time, including by operating a killswitch that stops new payments platform-wide — a control that exists to limit harm during an incident. Suspension prevents new payments; it does not and cannot reverse settled ones.
8. Prohibited use
Do not use the service to break the law, to launder funds, to distribute malware, to infringe rights, to attack the service or its providers, or to attempt to manipulate an agent through the text of a listing. Do not misrepresent who you are or who operates a tool.
9. Disclaimers and liability
To the fullest extent the law allows, the service is provided without warranties of any kind, and ATAX GLOBAL LLC is not liable for lost funds, lost profits, lost data, or any indirect or consequential loss arising from your use of it — including losses caused by a third-party tool, a compromised key of yours, an irreversible payment, or a failure of the Base network or any infrastructure provider we depend on.
Nothing here excludes liability that cannot lawfully be excluded.
10. Changes
We may update these terms. Material changes will be published here with a new revision date before they take effect. Continuing to use the service after that means you accept the revision.
11. Governing law
These terms are governed by the law of the State of Wyoming, and its courts have exclusive jurisdiction over disputes arising from them.
